Terms and Conditions

The rules, restrictions, disclaimers, billing terms, ownership terms, and liability limits that apply when you access or use Spotter.

Acceptance of these terms

These Terms and Conditions govern your access to and use of Spotter, including our websites, browser-based coaching tools, paid features, uploads, feedback systems, and related services.

By creating an account, accessing the product, or using any Spotter feature, you agree to be bound by these Terms. If you do not agree, do not use Spotter.

Eligibility and account responsibility

You must be legally able to enter into a binding agreement to use Spotter. If you are using Spotter on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for keeping your account credentials confidential, for all activity that occurs under your account, and for ensuring that the information associated with your account remains accurate and current.

We may suspend or restrict access to any account that appears compromised, misleading, fraudulent, abusive, or otherwise in violation of these Terms.

What Spotter provides

Spotter provides software tools for exercise-related tracking, rep counting, form feedback, coaching interactions, uploads, account history, and related training utilities. Features may vary by product tier, browser capability, device support, region, and subscription status.

We may add, remove, improve, limit, or discontinue features at any time. We are not obligated to continue offering any particular feature, integration, or product tier indefinitely.

Health and safety disclaimer

Spotter is provided for informational and training-support purposes only. It is not medical advice, diagnosis, treatment, emergency guidance, or a substitute for licensed healthcare or professional coaching tailored to your circumstances.

Exercise carries risk. You are solely responsible for evaluating your own physical condition, choosing whether to rely on product outputs, using safe equipment and surroundings, and stopping immediately if you feel pain, dizziness, discomfort, or other warning signs.

You assume all risk arising out of training decisions, movement execution, exercise selection, environment setup, or reliance on fitness-related outputs generated by Spotter.

Your content and submissions

You may upload, submit, or generate content through Spotter, including videos, images, notes, chat prompts, and related materials. You retain ownership of content you submit, subject to the rights you grant us below.

You grant Spotter a non-exclusive, worldwide, limited license to host, store, reproduce, process, analyze, and display your submitted content solely as necessary to operate, secure, improve, and support the service, including generating outputs you request and maintaining related history or records.

You represent that you have all rights necessary to submit the content and that your content does not infringe any third-party rights, violate any law, or breach these Terms.

Paid features, subscriptions, and billing

Some features require a paid plan or verified entitlement. Pricing, entitlements, usage limits, and included features may change from time to time.

Billing, subscription management, or entitlement verification may be handled directly by Spotter or through third-party providers. If a third-party provider processes your payment or membership, your relationship with that provider is also governed by its own terms and policies.

Unless otherwise required by law, fees are non-refundable once charged. Canceling Spotter access does not automatically cancel a third-party subscription; you remain responsible for following the cancellation process required by the applicable billing provider.

Acceptable use restrictions

You may not use Spotter to break the law, infringe rights, harass others, distribute malicious code, interfere with the service, scrape protected content at scale, test vulnerabilities without authorization, or attempt to gain unauthorized access to systems, accounts, or data.

You may not reverse engineer, decompile, disassemble, copy, frame, mirror, resell, or exploit Spotter except to the extent such restrictions are prohibited by applicable law.

You may not use automated means to extract data or outputs from the service in a way that materially burdens infrastructure, circumvents product limits, or competes unfairly with Spotter.

Intellectual property

Spotter, including its software, interface design, branding, text, graphics, workflows, audiovisual elements, models, and product content, is owned by Spotter or its licensors and is protected by applicable intellectual property and proprietary rights laws.

Except for the limited right to use the service in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.

Availability, changes, and beta features

Spotter may be unavailable from time to time due to maintenance, outages, third-party failures, upgrades, or events outside our control. We do not guarantee uninterrupted availability or error-free operation.

From time to time, we may label features as preview, beta, experimental, or early access. Those features may be incomplete, unstable, changed without notice, or removed entirely.

Suspension and termination

We may suspend, restrict, or terminate your access to Spotter at any time if we reasonably believe you have violated these Terms, created risk for users or the platform, failed to pay required fees, or if suspension is necessary for legal, security, or operational reasons.

You may stop using Spotter at any time. Sections that by their nature should survive termination, including ownership, disclaimers, limitations of liability, dispute-related provisions, and payment obligations accrued before termination, will survive.

Disclaimers

To the maximum extent permitted by law, Spotter is provided on an as-is and as-available basis. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or reliability.

We do not guarantee that outputs, counts, feedback, recommendations, plan suggestions, or any other generated results will be accurate, complete, safe, or appropriate for your needs.

Limitation of liability

To the maximum extent permitted by law, Spotter and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business, opportunities, data, or use.

To the maximum extent permitted by law, the aggregate liability of Spotter for any claim arising out of or relating to the service or these Terms will not exceed the greater of the amount you paid us for the service in the twelve months before the event giving rise to the claim or one hundred U.S. dollars.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you to the extent prohibited by law.

Indemnification

You agree to indemnify and hold harmless Spotter and its affiliates, personnel, licensors, and service providers from and against claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the service, your content, your violation of these Terms, or your violation of another person's rights.

Governing law and disputes

These Terms are governed by the laws applicable in the jurisdiction in which Spotter operates, without regard to conflict-of-law principles, except where mandatory local law requires otherwise.

If a dispute arises, you agree to contact us first and attempt to resolve the issue informally before pursuing formal legal action. If informal resolution does not succeed, disputes will be handled in the courts that have proper jurisdiction, unless applicable law requires another forum.

Changes to these terms

We may revise these Terms from time to time. When we do, we will update the effective date above and may provide additional notice where appropriate. The updated Terms become effective when posted unless a later date is stated.

By continuing to use Spotter after revised Terms become effective, you agree to the updated Terms to the extent permitted by law.
